Terms & Conditions

These Terms & Conditions govern all business relationships between Grosskord FZE (“we”, “our”, or “us”) and our clients.

 

By engaging our services, the client agrees to the following terms.

 

 

1. Scope of Services

 

Grosskord FZE provides sourcing, production management, and supply chain coordination services.

 

We act as an intermediary between the client and manufacturers. Grosskord FZE is not the manufacturer of the goods.

 

 

2. Orders and Agreements

 

All orders are confirmed based on mutually agreed specifications, including product details, pricing, quantities, and delivery terms.

 

Any changes to confirmed orders must be agreed upon in writing.

 

 

3. Pricing and Payment Terms

 

Prices are agreed per order and may depend on specifications, quantities, and market conditions.

 

Unless otherwise agreed:

 

• payments must be made according to the agreed payment schedule

• late payments may result in delays or suspension of services

 

All bank charges and transfer costs are borne by the client.

 

 

4. Production and Delivery

 

Delivery timelines are based on production schedules and supplier commitments.

 

While we actively manage and monitor production, delays may occur due to factors beyond our control, including:

 

• supplier delays

• raw material shortages

• logistics disruptions

• force majeure events

 

Delivery dates are therefore estimates unless explicitly agreed otherwise.

 

 

5. Quality Control and Inspection

 

We coordinate quality control processes, including:

 

• factory evaluations

• inline inspections

• pre-shipment inspections

 

Final approval is based on agreed specifications and approved samples.

 

The client acknowledges that inspections are conducted on a sampling basis and do not guarantee the absence of all defects.

 

 

6. Claims and Complaints

 

Any claims regarding defects or discrepancies must be submitted in writing within a reasonable period after delivery.

 

Claims must be supported by clear documentation.

 

We will coordinate with the supplier to investigate and resolve the issue. However, Grosskord FZE does not assume direct liability for manufacturing defects.

 

 

7. Liability

 

Grosskord FZE is liable only for damages resulting from intentional misconduct or gross negligence.

 

We are not liable for:

 

• indirect or consequential damages

• loss of profit or business interruption

• supplier-related failures beyond our control

 

Our total liability, if applicable, shall be limited to the value of the services provided.

 

 

8. Force Majeure

 

We shall not be liable for failure or delay in performance resulting from events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, or supply chain disruptions.

 

 

9. Confidentiality

 

Both parties agree to treat all confidential information obtained during the business relationship as strictly confidential and not to disclose it to third parties without prior consent.

 

 

10. Governing Law and Jurisdiction

 

These Terms & Conditions shall be governed by the laws of the United Arab Emirates.

 

Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.
