
Supplier Code of Conduct
Responsible Textile Sourcing Policy
Applicable to all suppliers, subcontractors, mills, factories, and service providers producing goods for our company.
1. Purpose
This Supplier Code of Conduct establishes the minimum ethical, social, environmental, and governance standards that all suppliers must follow when producing goods or services for our company. Our company sources textiles globally with a strong focus on manufacturing partners in Pakistan.
We are committed to responsible sourcing and expect our suppliers to operate with integrity,
respect for human rights and environmental responsibility.
This Code applies to:
• All direct suppliers
• Subcontractors
• Fabric mills
• Dyeing and finishing units
• Any facility involved in the production process
2. Guiding Principles
The standards in this Code are informed by internationally recognised frameworks, including:
• International Labour Organisation (ILO) Core Conventions
• UN Guiding Principles on Business and Human Rights
• OECD Due Diligence Guidance for Responsible Business Conduct
• UN Global Compact Principles
Suppliers must comply with all applicable national and local laws. Where this Code sets a higher standard than local law, suppliers must follow the higher standard.
3. Legal Compliance
Suppliers must operate in full compliance with applicable laws and regulations.
Suppliers must:
• Maintain valid business licenses and permits
• Comply with labour laws
• Comply with environmental laws
• Maintain accurate financial and operational records
• Maintain transparent production documentation
Operating without legal authorisation is not permitted.
4. Ethical Business Practices
Suppliers must conduct business with integrity and transparency.
The following practices are strictly prohibited:
• Bribery
• Corruption
• Fraud
• Falsification of records
• Kickbacks or illegal payments
• Offering gifts intended to improperly influence business decisions
Suppliers must maintain internal policies to prevent unethical conduct.
5. Supply Chain Transparency
Suppliers must maintain transparency regarding their operations and supply chains.
Suppliers must:
• Disclose all production locations
• Disclose subcontractors involved in production
• Maintain traceability of materials where possible
• Provide production documentation upon request
Unauthorised subcontracting is prohibited.
6. Workplace Health and Safety
Suppliers must provide safe and healthy working conditions.
Factories must maintain:
• Functional fire detection and fire safety systems
• Clearly marked emergency exits
• Emergency evacuation plans
• Regular fire drills
• Accessible fire extinguishers
• Safe machinery and equipment
Workers must receive training in workplace safety.
7. Worker Welfare
Suppliers must ensure that workers have access to safe and hygienic working conditions.
Facilities must provide:
• Clean drinking water
• Sanitary restroom facilities
• Adequate lighting and ventilation
• Safe eating areas where applicable
• Access to first aid equipment
Workplace accidents must be recorded and investigated.
8. Prohibition of Forced Labour
All work must be voluntary.
Suppliers must not:
• Use forced labour
• Use bonded labour
• Use prison labour
• Engage in human trafficking
Suppliers must not retain worker passports or identity documents.
Workers must be free to terminate employment in accordance with local law.
9. Child Labour
Suppliers must not employ workers below the legal working age.
The minimum age for employment is:
• 18 years old
• or the legal working age in the country
Young workers must not perform hazardous work.
10. Wages and Benefits
Workers must receive fair compensation.
Suppliers must:
• Pay at least the legal minimum wage
• Pay wages on time
• Provide legally required benefits
• Maintain accurate payroll records
• Provide pay slips to workers
Illegal wage deductions are prohibited.
11. Working Hours
Working hours must comply with applicable labour laws.
Suppliers must ensure:
• Overtime is voluntary
• Overtime is compensated
• Workers receive adequate rest breaks
• Workers receive at least one day off per week
12. Non‑Discrimination
Suppliers must treat workers with dignity and respect.
Discrimination based on the following characteristics is prohibited:
• Gender
• Race or ethnicity
• Religion
• Nationality
• Age
• Disability
• Sexual orientation
• Political affiliation
Harassment, abuse, and intimidation are strictly prohibited.
13. Freedom of Association
Suppliers must respect workers' rights to:
• Join trade unions
• Form worker organisations
• Participate in collective bargaining
Suppliers must not retaliate against workers exercising these rights.
14. Environmental Responsibility
Suppliers must minimise environmental impact and comply with environmental regulations.
Suppliers should implement practices that reduce:
• Energy consumption
• Water usage
• Waste generation
• Air emissions
Environmental permits must be maintained where required.
15. Chemical Management
Suppliers must manage chemicals safely.
Suppliers must:
• Store chemicals responsibly
• Maintain chemical inventories
• Train workers handling chemicals
• Follow applicable restricted substance regulations
Hazardous waste must be disposed of responsibly.
16. Textile Industry Responsibility
As a textile sourcing company, we encourage suppliers to support responsible textile production.
Suppliers are encouraged to:
• Improve traceability of raw materials
• Reduce textile waste during production
• Improve energy and water efficiency
• Explore recycling initiatives
• Support circular textile systems where possible
17. Worker Grievance Mechanisms
Suppliers must establish grievance mechanisms allowing workers to raise concerns.
The grievance system must:
• Allow confidential reporting
• Protect workers from retaliation
• Ensure fair investigation of complaints
• Provide appropriate resolution mechanisms
18. Monitoring and Compliance
Our company may monitor compliance with this Code through:
• Factory visits
• Documentation reviews
• Supplier self‑assessments
Where issues are identified, suppliers must implement corrective action plans.
19. Continuous Improvement
Suppliers are encouraged to continuously improve their performance in:
• Workplace safety
• Labor standards
• Environmental performance
• Supply chain transparency
